Master B2B Terms of Service
Governing Merchant Accounts, Wholesale API Integrations, and Protocol Usage
1. Agreement to Terms & Enterprise Scope
These Master Terms of Service ("Terms") constitute a legally binding agreement between INDGM Core ("Platform", "we", "us") and the verified commercial merchant or corporate entity ("Merchant", "Client", "you"). By creating a merchant account, accessing the REST API, or funding an escrow clearing balance, you confirm you are an authorized representative of a legitimate business entity operating in compliance with applicable trade laws.
2. Merchant Verification & KYC/KYB Obligation
Access to production-tier API keys and automated wholesale clearing is conditional upon full identity verification. You agree to submit authentic legal entity documentation, tax identification numbers, and authorized director identities. The Platform reserves the absolute right to suspend API key execution or de-authorize nodes upon detection of forged documentation, unauthorized reselling, or suspicious transaction velocities.
3. API Credentials & Integration Security
Each merchant is issued distinct Client IDs and hashed secret keys. You are strictly responsible for maintaining key confidentiality. Automated clearing requests authenticated with your Client Secret are conclusively deemed authorized by your enterprise. All server-to-server calls must implement valid TLS 1.3 encryption and adhere to assigned rate limits (requests per second).
4. Wholesale Digital Goods & Fulfillment Finality
The Platform routes fulfillment instructions directly to upstream telecommunications and gaming publisher gateways. Due to the irreversible cryptographic nature of digital serial keys, PINs, and automated game account credit direct top-ups, orders marked with a state of SETTLED are permanent and non-retractable.
5. Service Level Agreement & Node Availability
While the Platform targets 99.9% uptime across core micro-escrow settlement engines, you acknowledge that upstream publisher APIs, game server maintenance windows, and telecommunications circuits may experience intermittent degradation. Circuit breaker states triggered on upstream provider nodes do not constitute a breach of service by INDGM Core.
6. Termination & De-authorization
Either party may terminate the business relationship with 14 calendar days written notice. In cases of compliance failure, suspected fraudulent money movement, or security breaches, the Platform reserves the right to immediately invalidate API credentials and freeze associated balances pending regulatory compliance review.
